These Terms of Service and User Agreement (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Baseline Trading Strategies LLC, a Wyoming limited liability company (“Baseline,” “Company,” “we,” “us,” or “our”). These Terms govern your access to and use of the Baseline Trading App, the website located at baselinetrading.app, and all related software, tools, dashboards, APIs, data services, content, and features (collectively, the “Services”).

By accessing, registering for, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Services.

1. Description of Services

Baseline provides a software platform designed to help traders track, analyze, and visualize trading activity, performance statistics, and risk metrics across manual and automated trading workflows. The Services are informational, analytical, and educational in nature and are intended to support awareness, self-evaluation, and decision-making by Users.

The Services may include the collection, ingestion, normalization, and storage of trade-related data submitted by Users through manual uploads, broker or platform integrations, plugins, APIs, or webhooks. Trade data may include order details, execution prices, timestamps, quantities, profit and loss calculations, drawdowns, and other performance metrics. Because trade data is supplied by Users and third-party systems, Baseline does not guarantee the accuracy, completeness, reliability, or timeliness of any data displayed.

Baseline may provide dashboards, charts, reports, summaries, rankings, alerts, and comparative analytics that analyze historical or real-time trading activity. These analytics are generated using proprietary models and methodologies and may differ from records maintained by brokers, exchanges, or clearing firms. All analytics are provided for reference and awareness purposes only and should not be relied upon as authoritative account statements.

The Services may also include access to automated trading indicators, assistants, bots, or algorithmic strategies (“Trading Assistants”). These Trading Assistants are provided solely to help Users observe patterns, track statistics, and compare outcomes. Baseline does not place trades on a User’s behalf, does not facilitate trade execution, and does not control, manage, or override a User’s trading activity.

2. No Trade Facilitation or Execution

You acknowledge and agree that Baseline does not execute trades, route orders, manage accounts, or facilitate trading on your behalf. All trading activity occurs entirely outside the Services and is initiated, controlled, and executed solely by you through third-party platforms of your choosing.

Baseline is not responsible for any losses, missed opportunities, or outcomes resulting from trades you place, including trades influenced by analytics, indicators, Trading Assistants, or strategies displayed on the platform. Any decision to follow, mirror, copy, or reference a Trading Assistant or another User’s strategy is made solely at your own discretion and risk.

3. Trading Assistants, Indicators, and Community Strategies

Trading Assistants, indicators, and bots available through the Services—including those developed or submitted by other Users—are provided strictly for awareness, analytical reference, and statistical comparison. They are not recommendations, trade signals, or guarantees of performance. Baseline does not represent that any Trading Assistant or strategy is profitable, suitable, or appropriate for any User.

You acknowledge that Trading Assistants may behave unpredictably, rely on assumptions that may not hold in live markets, or perform differently than expected due to market conditions, latency, execution differences, or system limitations. Baseline assumes no responsibility for outcomes resulting from reliance on or observation of these tools.

4. Eligibility and Account Registration

To access certain features of the Services, you must create an account and provide accurate, current, and complete registration information. You must be at least eighteen (18) years of age and legally capable of entering into a binding agreement. You are solely responsible for safeguarding your credentials and for all activity conducted through your account.

5. Subscriptions, Fees, and Payments

Certain features of the Services may require payment of subscription fees. By subscribing, you authorize Baseline or its payment processor to charge your selected payment method on a recurring basis according to the plan you select. Subscriptions automatically renew unless canceled prior to the renewal date. Baseline may modify pricing, plans, or billing intervals with reasonable notice. You are responsible for all applicable taxes.

6. Refund Policy

Except where required by applicable law, all fees paid to Baseline are non-refundable. No refunds are provided for partial billing periods, unused features, service interruptions, account inactivity, or termination for any reason.

7. Data Usage, Availability, and Loss Disclaimer

You retain ownership of the raw trade data and content you submit to the Services. By using the Services, you grant Baseline a worldwide, perpetual, irrevocable, royalty-free, transferable license to store, process, analyze, display, reproduce, modify, aggregate, and de-identify your data for purposes related to operating, improving, commercializing, and supporting the Services.

While Baseline employs reasonable technical and organizational measures to safeguard data, you acknowledge that no system is immune to failure. Baseline is not responsible for lost, corrupted, incomplete, delayed, or inaccessible data, whether due to system errors, third-party integrations, user misconfiguration, outages, or events beyond its reasonable control. You are solely responsible for maintaining independent records of your trading activity.

Baseline may use data internally for analytics, benchmarking, research, reporting, and product development. Baseline may also provide reports, analytics, insights, or aggregated and de-identified datasets to third-party partners, including but not limited to research partners, prop firms, liquidity providers, technology vendors, or commercial partners. Personally identifiable information will not be knowingly disclosed without consent unless required by law.

8. User-Submitted Indicators, Bots, and Strategies

By uploading, creating, configuring, or otherwise adding any indicator, Trading Assistant, bot, or strategy to the Services—whether published publicly, shared privately, or kept unpublished—you grant Baseline a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, display, analyze, reproduce, modify, aggregate, and distribute such content within the Services and to Baseline’s community and partners.

You acknowledge and agree that indicators and Trading Assistants added to the platform may be accessible to other Users and Baseline’s partners, may be included in aggregated analytics, benchmarking tools, or comparative reports, and may be used to improve Baseline’s products and offerings. You retain ownership of your original intellectual property, subject to this license.

9. Acceptable Use

You agree to use the Services lawfully and in accordance with these Terms. You may not submit false or misleading data, manipulate statistics, interfere with platform functionality, reverse engineer the Services, scrape data, or violate any applicable law or third-party agreement. Baseline reserves the right to suspend or terminate access for violations.

10. Intellectual Property

All software, interfaces, analytics models, designs, trademarks, logos, and platform content owned by Baseline are protected intellectual property. These Terms grant you a limited, non-exclusive, non-transferable license to use the Services as intended. No ownership rights are transferred.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. BASELINE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, RELIABILITY, AVAILABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BASELINE DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT ANY DATA, ANALYTICS, OR TRADING ASSISTANTS WILL PRODUCE PROFITABLE RESULTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASELINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. BASELINE’S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Baseline and its members, managers, employees, and partners from any claims, losses, damages, liabilities, and expenses arising from your use of the Services, trading activity, data submissions, or violation of these Terms.

14. Service Availability and Modifications

Baseline may modify, suspend, or discontinue any aspect of the Services at any time. The Services may be temporarily unavailable due to maintenance, updates, outages, or third-party system failures. Baseline does not guarantee continuous availability.

15. Termination

You may terminate your account at any time. Baseline may suspend or terminate access at its discretion, with or without notice. Termination does not entitle you to a refund.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the courts located in Wyoming.

17. Severability and Entire Agreement

If any provision is found unenforceable, the remaining provisions remain in effect. These Terms constitute the entire agreement between you and Baseline regarding the Services.

RISK DISCLOSURE

Trading financial instruments involves substantial risk and is not suitable for all individuals. You may lose some or all of your capital, and losses may exceed initial deposits. Past performance—whether generated by manual trading, indicators, Trading Assistants, bots, or analytics displayed on the Services—is not indicative of future results.

Market volatility, liquidity conditions, latency, slippage, execution differences, system failures, and third-party platform limitations may result in unexpected outcomes. Trading Assistants and indicators are observational tools only and may not reflect real-world execution conditions.

You acknowledge that all trading decisions are made at your own discretion and risk and that Baseline Trading Strategies LLC is not responsible for trading losses, outcomes, or decisions, including those influenced by analytics, indicators, Trading Assistants, or community-shared strategies.
